Terms of Service

These Terms of Service (“Terms”) govern your use of AutoReel Studio, a content automation platform operated by XEROTECH LTD (“we”, “us”, “our”). By creating an account or using AutoReel Studio, you agree to these Terms.

AutoReel Studio is a web-based platform that enables creators and agencies to upload, manage and publish video content to social media platforms. The Service currently supports TikTok via the TikTok Content Posting API, with additional platforms planned.

The Service allows you to:

• Connect your TikTok account via OAuth 2.0 authentication
• Upload video files and publish them to your connected TikTok account
• View upload history and publication status
• Manage your connected social media accounts

3. Eligibility

To use AutoReel Studio, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Have a valid TikTok account that you are authorised to manage
• Not be prohibited from using the Service under applicable law

4. Your Account

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately at support@xerotech.io if you suspect unauthorised access.

5. TikTok Integration

5.1 Account Connection

When you connect your TikTok account, you authorise AutoReel Studio to access your account within the scopes you approve (profile information, video upload, video publishing). You can revoke this access at any time through AutoReel Studio or through TikTok’s app permissions settings.

5.2 Content Responsibility

You are solely responsible for all content you upload and publish through AutoReel Studio. You represent and warrant that:

• You own or have the necessary rights to all content you upload
• Your content does not infringe any third-party intellectual property rights
• Your content complies with TikTok’s Community Guidelines and Terms of Service
• Your content complies with all applicable laws and regulations

5.3 TikTok Platform Rules

Your use of TikTok through AutoReel Studio is also subject to TikTok’s Terms of Service and Privacy Policy. In the event of a conflict between our Terms and TikTok’s terms regarding use of the TikTok platform, TikTok’s terms shall prevail.

5.4 API Changes and Availability

TikTok may modify, restrict or discontinue their API at any time. We are not responsible for changes to TikTok’s platform, API availability, content policies, or any actions TikTok takes regarding your account or content. We will make reasonable efforts to adapt to API changes but cannot guarantee uninterrupted service.

5.5 Content Visibility

Content posted through AutoReel Studio may initially be restricted to private viewing until our application passes TikTok’s compliance audit. We will inform you of any visibility restrictions that apply to your published content.

6. Acceptable Use

You agree not to use AutoReel Studio to:

• Upload or publish illegal, harmful, abusive, defamatory or discriminatory content
• Infringe copyrights, trademarks, or other intellectual property rights
• Spam, mislead, or deceive viewers or the TikTok platform
• Attempt to bypass rate limits, security measures, or API restrictions
• Use automated systems to access the Service without permission
• Interfere with the operation of the Service
• Violate TikTok’s Community Guidelines or Terms of Service

We reserve the right to suspend or terminate accounts that violate these terms and to report illegal activity to appropriate authorities.

7. Intellectual Property

You retain ownership of all content you upload. By using the Service, you grant us a limited licence to process and transmit your content solely to provide the publishing functionality. This licence terminates when you delete your content or account.

AutoReel Studio, including its design, code, and branding, is owned by XEROTECH LTD and protected by intellectual property laws.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to scheduled maintenance, unplanned outages, third-party API changes, or factors beyond our control. We may modify or discontinue features with reasonable notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. We are not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) £100.

We are not responsible for:

• Content you publish through the Service
• Actions taken by TikTok regarding your account or content
• Loss of data, revenue, or business opportunities
• Third-party API changes, downtime, or policy enforcement

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless XEROTECH LTD from any claims, damages, losses, or expenses arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may terminate your account at any time by disconnecting your TikTok account and contacting support@xerotech.io. We may suspend or terminate your account for violation of these Terms, for non-payment, if required by law, or at our discretion with 30 days’ notice.

Upon termination, your right to use the Service ends immediately and all stored OAuth tokens and session data are deleted.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer in the EU or UK, you may also bring proceedings in your country of residence.

13. Changes to These Terms

We may update these Terms from time to time. We will post changes on this page with an updated revision date. Continued use of the Service after changes constitutes acceptance.
